Scope of Services
We provide consulting, design, engineering, quality assurance, managed services, and related deliverables as detailed in the applicable SOW or proposal. Any change in scope requires a written change request outlining impact to timeline, effort, and fees.
Quotes & Statements of Work
Quotes remain valid for 30 days unless otherwise stated. Each SOW describes scope, milestones, acceptance criteria, client responsibilities, and commercial terms. Conflicts between these terms and an SOW will be resolved in favor of the SOW.
Payment Terms
Invoices are raised per the milestone or retainer schedule in the SOW. Unless specified, invoices are due within 15 days of receipt. Late payments may incur interest at 1.5% per month. All fees exclude applicable taxes, duties, and withholding required by Indian law.
Intellectual Property
Upon full payment, you receive ownership of bespoke deliverables produced for you, excluding our pre-existing tools, accelerators, and frameworks (“Priyanka Thackeray Materials”). We grant you a perpetual, non-exclusive license to use Priyanka Thackeray Materials incorporated in deliverables solely for your internal business purposes.
Confidentiality
Each party agrees to protect confidential information with the same level of care it uses for its own confidential information and to use it only for purposes of performing the agreement. Confidentiality obligations survive for three years after termination, except for trade secrets which remain protected indefinitely.
Warranties
We warrant that services will be performed with reasonable skill and care consistent with industry standards. Except as expressly stated, we disclaim all other warranties, including implied warranties of merchantability and fitness for a particular purpose.
Limitation of Liability
To the extent allowed by law, each party’s aggregate liability is limited to the fees paid or payable under the relevant SOW in the 12 months preceding the claim. Neither party is liable for indirect, consequential, punitive, or special damages, including loss of profit or data.
Governing Law & Dispute Resolution
These terms are governed by the laws of India without regard to conflict of law principles. Disputes will first attempt amicable resolution between senior executives. Failing resolution within 30 days, disputes will be referred to arbitration in Jaipur, Rajasthan, conducted in English under the Arbitration and Conciliation Act, 1996.
Termination
Either party may terminate an engagement for material breach not cured within 15 days of written notice or for convenience with 30 days' notice (subject to payment of fees for work performed). Termination provisions within the SOW prevail when different.
